Advisory Standards & Institutional Governance

National Finance Consultancy FZC provides independent corporate financial facilitation and transaction structuring. Guidance is tailored to UAE commercial standards, Central Bank regulations, and regional Shariah governance frameworks under the oversight of our Executive Client Relations.

National Finance provides advisory and consultancy for companies that need capital to grow, expand or restructure. We help you decide which funding route fits your business, prepare the information funders expect and coordinate with the banks, investors and advisers who make the final decisions. We work with companies in the UAE, the GCC, Africa and the Philippines.

What is capital raising?

Capital raising is the process of securing money for a business from outside sources. It can mean borrowing (debt), selling a share of the company (equity), using Sharia-compliant structures, or a combination. Each route has a different cost, level of control and repayment obligation. The best choice depends on your cash flow, assets, growth plans and how much ownership you are willing to share.

What funders usually ask for

  • The amount required, the timeline and a clear use-of-proceeds table
  • Historical financial statements and projections with stated assumptions
  • Existing debts, obligations and security already given
  • Ownership structure, governance and key management
  • Key contracts, licences and compliance information
  • A repayment plan for debt, or a growth and exit plan for equity

UAE and cross-border considerations

  • Regulation: offering shares, Sukuk or other securities to investors may be regulated, depending on where you are and who you approach. Onshore UAE, DIFC and ADGM have different regimes. Always take legal advice before approaching investors.
  • Company structure: your licence type and jurisdiction affect who can invest and how shares can be issued or transferred.
  • Tax and accounting: corporate tax, VAT and reporting standards influence how funders assess your company.
  • Cross-border investors: consider currency exposure, governing law, foreign ownership rules and how funds will be transferred.

How we work with you

  1. Discovery: your goals, amount needed, timeline and current financial position.
  2. Route comparison: a short paper comparing suitable debt, equity and Islamic options, with their trade-offs.
  3. Information pack: company profile, financial summary, use of proceeds and supporting documents.
  4. Coordination: where suitable, introductions to and follow-up with licensed institutions, investors and legal advisers, who carry out their own assessment.
  5. Through to completion: tracking term sheets, conditions and document requests.

Common mistakes to avoid

  • Raising equity when affordable debt would work, or the other way around
  • Asking for an amount without explaining how it will be used
  • Approaching many funders with an incomplete or inconsistent pack
  • Underestimating the time needed for due diligence and approvals
  • Not taking legal advice on how investors can be approached

Frequently asked questions

Should I raise debt or equity?

Debt keeps ownership with you but must be repaid. Equity does not need repayment but shares ownership and future profits. The right mix depends on your cash flow, assets and growth plans, which we review in the first consultation.

How much capital can my company raise?

It depends on your financial performance, assets, sector and the funder’s appetite. Each funder applies its own criteria.

How long does capital raising take?

Timelines vary with the route, the quality of your documents and the funder’s process. Ask for a case-specific timetable.

Does National Finance provide the capital?

No. National Finance acts in an advisory and consultancy capacity only. We do not lend, invest, underwrite, or offer or sell securities. Funding decisions are made by licensed institutions and investors.
